QuickBooks Online Integration End-User License Agreement

This End-User License Agreement ("Agreement") is between 904 Digital Media LLC ("904 Digital Media," "we," "us," or "our") and the business that turns on the QuickBooks Online integration (the "Integration") in the 904 Booking Hub (the "Hub") ("you" or "your"). It governs the Integration only; the rest of the Hub stays governed by our Terms of Service. You accept this Agreement by checking the box that says you agree to it in the Hub's QuickBooks settings and then connecting a QuickBooks Online company. By doing so, you agree to this Agreement, our Terms of Service, and our QuickBooks Online Privacy Policy. We keep a record of who accepted, when, and which version. If you connect on behalf of a business, you confirm you have authority to bind it.

While connected, the Integration:

• creates or links customers in QuickBooks Online for the people you bill in the Hub, looking for an existing customer first;
• creates service items to bill against;
• sends each invoice and sales receipt you issue in the Hub, with its lines, discounts, sales tax, dates, and the Hub's invoice number;
• applies payments recorded in the Hub to the matching QuickBooks invoice;
• voids in QuickBooks an invoice it sent, when you void that invoice in the Hub; and
• holds back payments when a card processor already sends your sales to QuickBooks, unless you choose to send them, so nothing is counted twice.

The Integration counts a document as sent only when its total in QuickBooks matches the Hub's to the cent. Data moves from the Hub to QuickBooks; changes you make in QuickBooks are not copied back into the Hub.

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Integration for your own internal business purposes while you are a Hub customer. You may not copy, modify, reverse engineer, resell, or sublicense the Integration; use it to provide services to others; access data or accounts you are not authorized to access; or use it in a way that violates Intuit's terms or any law.

By connecting, you authorize us to access your QuickBooks Online company through Intuit's authorization process and APIs, to read and write the data described in our QuickBooks Online Privacy Policy, and to keep the reference information needed to keep your records accurate. You confirm you have the right to grant that access. You can withdraw it at any time, as Section 6 describes.

You own your business data, including the data in your QuickBooks Online company. You give us the right to use it only to provide the Integration, as this Agreement and our QuickBooks Online Privacy Policy describe.

You can disconnect at any time in the Hub (Settings, QuickBooks, Disconnect QuickBooks) or from the connected apps in QuickBooks Online. When you do, the Integration stops immediately, the authorization stops working, and the Hub deletes its stored copy. Everything already sent stays in your QuickBooks Online company. We keep the QuickBooks reference IDs for what was already sent, so your records stay consistent if you reconnect, unless you ask us to delete them.

You are responsible for:

• keeping an active QuickBooks Online subscription and the permissions needed to connect;
• the setup of your QuickBooks company, including sales tax, accounts, and items;
• reviewing what the Integration sends and reconciling your books; and
• your accounting, your tax filings, and your compliance with the law.

The Integration does not provide accounting, tax, or legal advice. Review your books with your accountant as you normally would.

The Integration depends on Intuit's services, which we do not control. Intuit outages, changes, limits, or errors, and settings in your QuickBooks company, can delay or stop a document from being sent. The Integration retries automatically and tells you in the Hub when something needs your attention, but we do not guarantee that every document will be sent, or sent by a particular time.

To the fullest extent the law allows, the Integration is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent the law allows, 904 Digital Media is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to the Integration, including bookkeeping errors, missing or duplicate entries, or differences between the Hub and QuickBooks. Our total liability arising out of or related to the Integration will not exceed the greater of (a) the amount you paid us for the Hub in the 12 months before the claim, or (b) one hundred U.S. dollars ($100). Nothing in this Agreement limits liability that cannot lawfully be limited.

QuickBooks and Intuit are trademarks of Intuit Inc. The Integration is provided by 904 Digital Media, not by Intuit, and Intuit does not sponsor or endorse it. Your use of QuickBooks Online is governed by your agreement with Intuit. For problems inside QuickBooks Online, contact Intuit support.

This Agreement lasts while the Integration is connected. It ends when you disconnect or your Hub subscription ends. We may suspend or end the Integration if you breach this Agreement, if your use creates a security risk, or if Intuit requires it. Sections 5, 7, 9, 10, and 13 survive termination.

This Agreement is governed by the laws of the State of Florida.

We may update this Agreement. We will post the new version on this page with a new effective date, and tell connected businesses about material changes. Continuing to use the Integration after a change takes effect means you accept it.
